By electing to satisfy the requirements for entry into the Giveaway for Meltwater Celebrates International Chess Day 2022, taking place on July 20, 2022 (“Giveaway”), you agree to be fully and unconditionally bound by these Terms & Conditions (“Terms”) and the decisions of the judges, which will be final and binding in all matters relating to the Giveaway. You acknowledge that you satisfy all eligibility requirements as set forth in these Terms. “Meltwater” means Meltwater News US, Inc. or any of its affiliates.

A Eligibility to Enter. To be eligible to participate in the Giveaway, you must by July 20, 2022: (i) be at least 18-year-old; (ii) be legal resident of the 50 United States or the District of Columbia; (iii) retweet Meltwater’s International Chess Day competition post on Twitter (iiii), and follow @Meltwater on Twitter on July 20, 2022. You must continue to follow @Meltwater on Twitter for the remaining month (“Event”)

B Participation is Void. Your participation is void where prohibited, taxed or restricted by law. Employees, officers and directors of Meltwater and its parent companies, subsidiaries, affiliates, partners, advertising and promotion agencies, or distributors of Giveaway materials and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees/officers/directors are not eligible to enter. All federal, state and local laws and regulations apply.

C Giveaway Period. The Giveaway begins on Wednesday, July 20, 2022, at 10 AM PT and ends on Friday, July 29, 2022, at 11:59 PM PT ("Giveaway Period").

D How to Enter. To be eligible for the Prize of the Giveaway, you must do all of the following by within the Giveaway Period: (i) follow @Meltwater on Twitter; (ii) publicly retweet Meltwater’s International Chess Day competition post on Twitter. Entry into the Giveaway is by this process only.

E Restrictions. Limit 1 entry per person per social media account, regardless of number of posts or number of social media platforms you elect to post it on. No automated entry devices or programs permitted. Meltwater is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Proof of submission will not be deemed to be proof of receipt by Meltwater.

F Random Drawing. Only one (1) entrant will be selected randomly to receive the Prize (“Winner”). Meltwater will announce the Winner on Sunday 14^th August, post it on Meltwater’s Twitter account on or about Monday August 15^th, 2022, and send the Winner a direct message to the Twitter account that entered the Event (“Winner Announcement”). The Winner must reply to Meltwater’s direct message within ten (10) business days of the Winner Announcement to redeem the Prize and provide information requested by Meltwater in the direct message to facilitate the order and delivery of the Prize. If the Winner does not redeem the prize within ten (10) business days of the Winner Announcement, the prize will be forfeited, and Meltwater will award the prize to an alternate winner randomly from the original pool of entrants. If the prize cannot be awarded after three (3) alternate Winners have been notified, the Prize will remain unawarded.

G Prize. The Winner will receive one (1) signed chess board, which includes delivery to the provided United States address, standard warranty (“Prize”). Approximate retail value of the Prize is $1,895 USD. The Winner is entitled to one (1) Prize only. Prizes are non-transferable. No substitutions or cash redemptions. In the case of unavailability of the Prize, Meltwater in its sole discretion reserves the right to substitute the Prize for different prize of equal or greater value. All expenses not specifically listed herein are the responsibility of the Winner. All federal, state and local taxes are the sole responsibility of the Winner.

H Prize Delivery. The delivery date of the Prize is conditioned by the availability and delivery terms of the courier. Upon receipt of the earliest delivery date from the courier, Play Magnus Group, on behalf of Meltwater, will promptly provide it to the Winner. Meltwater is not responsible if the Prize cannot be delivered due to an incorrect mailing address, if the Winner did not provide a United States address, or for lost or misdirected requests.

I Conditions of the Giveaway. You agree that Meltwater’s decisions related to the Giveaway and the distribution of the Prize is final. By participating, you agree to release and hold harmless Meltwater, its advertising and promotion agencies and its parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors, from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in Giveaway, or possession, acceptance and/or use or misuse of Prize or participation in any Giveaway-related activity and claims based on publicity rights, defamation or invasion of privacy and Prize delivery. Meltwater reserves the right, at its sole discretion, to disqualify any entrant it finds, in its sole discretion, to be tampering with the entry process or the operation of the Giveaway or the Event. There is no purchase or sales presentation required to participate.

J Additional Terms. Meltwater reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend this Giveaway should (in its sole discretion) virus, bugs, non-authorized human intervention or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Giveaway. In such a case, Meltwater will select the Winner from all eligible entries received prior to and/or after (if appropriate) the action taken by Meltwater. Additionally, Meltwater reserves the right to prosecute any fraudulent activities to the full extent of the law. In case of dispute as to the identity of any entrant, entry will be declared made by the authorized account holder of the email address submitted at time of registration for the Event. “Authorized Account Holder” is defined as the natural person who is assigned an email address by an internet access provider, online service provider, or other organization (e.g., business, educational, institution, etc.) responsible for assigning email addresses or the domain associated with the submitted email address. Any other attempted form of entry is prohibited; no automatic, programmed; robotic or similar means of entry are permitted. Meltwater, and its parent companies, subsidiaries, affiliates, partners and promotion and advertising agencies are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, internet, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit your ability to enter the Giveaway, including any injury or damage to your or any other person’s computer relating to or resulting from participating in this Giveaway or downloading any materials in this Giveaway.

K CAUTION. ANY ATTEMPT BY YOU TO DELIBERATELY DAMAGE ANY WEB SITE CONNECTED TO OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE; THE MELTWATER RESERVES THE RIGHT TO SEEK DAMAGES FROM YOU TO THE FULLEST EXTENT PERMITTED BY LAW.

L Release. By receipt of any Prize, Winner agrees to release and hold harmless Meltwater, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and Prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Giveaway or receipt or use or misuse of any Prize. Notwithstanding the foregoing.

M Use of Data. The personal data that Meltwater will collect about you through your entry is in accordance with Meltwater’s privacy policy, located at https://www.meltwater.com/en/privacy. Please review the Meltwater’s privacy policy prior to submitting your entry. By participating in the Giveaway, you hereby agree to Meltwater’s collection and usage of your personal information and acknowledge that you have read and accepted Meltwater’s privacy policy.

N Use of Winner’s Name. Meltwater may use the Winner’s name in any manner and in any medium for its promotional purposes without additional compensation, including posting on social media platform, except where prohibited by law, and Meltwater, and their respective affiliates may be required to disclose the Winner’s address to state regulatory authorities.

O License To Content Of The Giveaway Entry. By fulfilling the requirements of the entry into the Giveaway, you expressly acknowledge and agree that you and only you will be responsible for the content of your submission and for any consequences that may arise therefrom. By fulfilling the requirements of the entry (or attempting to fulfill) you grant Meltwater and its affiliates, an irrevocable, perpetual, worldwide, unconditional, unrestricted, fully-paid, royalty-free, transferable, fully sub-licensable, non-exclusive right and license to display, distribute (including, without limitation, through third-party sites, blogs, microblogs and other social networking media and Internet resources), store, host, broadcast, webcast, transmit, distribute, tag, reproduce, edit, modify, delete, create derivative works, and/or otherwise use, reuse, assign, and/or otherwise exploit your submissions and any names, likenesses, voices, images, digital recordings, performances, and other ideas, concepts, feedback and other materials included in your submissions, in any manner, medium or content now known or hereinafter devised, for any purpose, as determined solely in Meltwater’s (or its authorized designees/licensees') sole discretion, without the requirement for any compensation to you or anyone else, or the need to require additional consent from you or anyone else, or the need to provide prior notification or any credit to you or anyone else.

P Dispute. This Giveaway is governed exclusively by the laws of the United States. Any disputes under these Terms must be brought in the state courts and the Federal courts located in San Francisco County, California, and by fulfilling the requirements of the entry to the Giveaway, you hereby consent to the personal jurisdiction and venue of these courts.

Q Social Media Platforms. This Giveaway is in no way endorsed or administered by or associated with any social media platforms. You understand that you are providing your information to Meltwater and not to the social media platforms. The information you provide with your entry to the Giveaway will only be used in accordance with these Terms. Any questions, comments or complaints regarding this Giveaway must be directed to the Meltwater and not to any of the social media platforms. Further, you release any of the social media platforms and its associated companies from all liability arising in respect of the Giveaway.
